Talent Master — Terms of Use
1. Parties and purpose
These terms of use (the "Terms") are entered into between:
- GETPRO SAS, a French simplified joint-stock company with a share capital of €30,237.30, registered with the Paris Trade and Companies Register under number 812 105 138, whose registered office is at 117 rue de Charenton, 75012 Paris, France, VAT number FR85812105138, telephone +33 9 80 85 33 92, which publishes and operates Talent Master ("GETPRO"); and
- the company that creates a Talent Master workspace and accepts these Terms online through a user with authority to bind it (the "Customer").
They set out the conditions under which GETPRO provides Talent Master to the Customer and the Customer uses it. Talent Master is reserved for businesses acting for the purposes of their trade, for their own recruitment.
2. Definitions
Capitalised terms have the meanings below. Terms defined in the DPA have the same meaning in these Terms.
- "Agreement": these Terms, the DPA, the Price List and any Order, taken together.
- "AI Assistant": the third-party conversational assistant through which a User uses Talent Master by means of the Connector.
- "Connector": the Talent Master server to which an AI Assistant connects, under the Model Context Protocol, to use the Service.
- "Credit": the unit in which the use of the Service is measured and paid for.
- "DPA": the Talent Master data processing agreement, in the version the Customer has accepted, under which GETPRO processes personal data on the Customer's behalf.
- "Order": a Subscription or a purchase of Credits that the Customer accepts, in the Service or in writing, on GETPRO's offer.
- "Output": what the Service produces for the Customer, such as a brief, a shortlist, the reason given for a candidate, a drafted message, a summary or a cost estimate.
- "Price List": the prices of the Subscription, of Credits, and of each action in Credits, as shown on the Credits page of the Web Interface.
- "Search": a search for candidates that the Customer starts and that Talent Master carries out by finding profiles and screening them against the Customer's criteria.
- "Service": Talent Master, reached through the Connector and the Web Interface, with its features as they stand at any given time.
- "Subscription": the paid plan, renewed by period, that gives the Customer included Credits and the right to buy more.
- "User": an individual whom the Customer authorises to use the Service in its Workspace, such as an employee.
- "Web Interface": the Talent Master web pages where a User signs in, sets up the Workspace, confirms the launch of a sequence and manages Credits.
- "Workspace": the Customer's account in Talent Master and the data held in it.
- "Workspace Data": all data held in the Workspace: what the Customer and its Users put into the Service, the profiles and contact details gathered for them, their decisions, their messages and the Outputs. It includes the Customer Personal Data defined in the DPA.
3. Acceptance and contract documents
3.1. The Customer accepts these Terms and the DPA when its first User creates the Workspace, by ticking the box provided for that purpose. That User represents that they have authority to bind the Customer.
3.2. The Agreement is formed when GETPRO creates the Workspace. GETPRO keeps a record of each acceptance: the version accepted, the User who accepted it, and the date and time. Each version of these Terms is dated and remains available on GETPRO's website in a form that can be saved and printed.
3.3. Acting between professionals, the parties waive points 1 to 5 of Article 1127-1 and Article 1127-2 of the French Civil Code, as Article 1127-3 of that code allows.
3.4. Where the contract documents conflict, the DPA prevails on the protection of personal data, an Order prevails on the prices, Credits and periods it sets, and these Terms prevail on everything else. The Customer's own general terms of purchase do not apply, even if a purchase order refers to them.
3.5. These Terms are written in French and in English. Where the two versions differ, the French version prevails.
4. The Service
4.1. Talent Master helps the Customer recruit for its own roles. Through it, the Customer can:
- describe a role and have its brief collected, checked for gaps and contradictions, and validated;
- start Searches, which find candidate profiles in public professional sources and screen them against the validated brief, with a reason for each candidate kept or rejected;
- look up a candidate's contact details;
- contact candidates by email from its own mailbox, follow their replies and answer them;
- offer candidates interview slots and add booked interviews to its calendar;
- where the Service offers it, record and transcribe interviews.
4.2. The Customer uses the Service mainly from its AI Assistant, through the Connector, and on the Web Interface for the actions that require it, in particular confirming the launch of a sequence. The AI Assistant is not part of the Service: the Customer chooses it and uses it under its own agreement with the AI Assistant's provider (6.6).
4.3. Talent Master sends no message to a candidate in the Customer's name without the approval of a User. A sequence is approved by confirming its launch on the Web Interface, which covers every email in it. A reply is approved by a User in the AI Assistant before it is sent. A message, once sent, cannot be recalled. Messages that a candidate's own action triggers, such as the confirmation of an erasure request, fall outside this approval.
4.4. In its current version, the Service:
- contacts candidates by email only: it sends no SMS, does not act on LinkedIn, sends no LinkedIn message or InMail, and does not connect to the Customer's LinkedIn account;
- does not connect to the Customer's applicant tracking system;
- sends emails at a limited daily pace and within a sending window that GETPRO sets to protect the reputation of the Customer's mailbox, and stops a candidate's sequence when that candidate replies.
4.5. GETPRO may change the Service to improve it, to adapt it to the law or to its providers, or for security reasons. GETPRO informs the Customer in advance of any change that removes a feature the Customer uses or materially reduces the Service; the Customer may then terminate the Agreement under 16.4.
4.6. Talent Master is a software service. GETPRO is not a recruitment agency or a placement intermediary, takes no part in the Customer's hiring decisions, and is not a party to any relationship between the Customer and a candidate.
5. Workspace, Users and access
5.1. A User signs in to the Service with a Google or Microsoft account, as the Web Interface offers. The User who creates the Workspace becomes its first administrator. The administrators may give access to other Users within the number of seats of the Workspace.
5.2. Each User's access is personal. The Customer ensures that its Users comply with the Agreement, keep their accounts secure and stop using the Service when they leave the Customer. The Customer is responsible for anything done under its Users' access and informs GETPRO without delay of any unauthorised use.
5.3. An action carried out through the Connector under a User's sign-in, including an action the AI Assistant carries out, is deemed to have been carried out by that User.
5.4. The Customer gives accurate information when it creates the Workspace and keeps it up to date, including the details needed for invoicing when it takes out a Subscription.
5.5. Trial Credits are granted once per company email domain, as 9.3 sets out. GETPRO may cancel the trial Credits of, and close, any Workspace created to obtain them more than once.
6. The Customer's obligations
6.1. Lawful use. The Customer uses the Service in compliance with the law that applies to it, including data protection law, employment law and the rules on electronic communications. It is the controller of candidates' personal data and, as the DPA sets out, is responsible for the lawfulness of the processing it instructs, for informing candidates beyond the notice Talent Master adds to the first email, and for the retention periods it applies.
6.2. No protected criteria. The Customer must not set search, screening or selection criteria based on a ground of discrimination the law prohibits, in particular those listed in Article L1132-1 of the French Labour Code, or on a proxy for one, such as age, year of graduation, name, photograph or address. A requirement that the role objectively needs, such as the place of work or a language used in the job, is not a protected criterion where the law allows it (Article L1133-1 of that code). Talent Master refuses such criteria when it detects them, which does not relieve the Customer of this obligation. The Customer must not use the Service to process special categories of personal data or data relating to criminal convictions.
6.3. Human review. The Customer reviews each candidate the screening keeps before contacting them, can review the candidates the screening rejects, and alone decides whom to contact, interview and hire.
6.4. Messages. The Customer is responsible for the content of the messages sent in its name. They must concern a real role the Customer is recruiting for, be truthful about the Customer and the role, and be neither discriminatory, misleading nor unlawful. The Customer must not remove or alter the notice Talent Master adds to the first email, nor try to contact through the Service a candidate who has objected.
6.5. Recording. Where the Customer records an interview through the Service, it ensures that the candidate has been informed and has not refused, and does not record a candidate who has refused.
6.6. AI Assistant. The Customer chooses its AI Assistant and the plan under which it uses it. The data the Service returns to the conversation, including candidates' personal data, is processed by the AI Assistant's provider under the Customer's own agreement with that provider, not by GETPRO or its sub-processors. The Customer ensures that this agreement suits that processing, in particular that the provider does not use the conversations to train its models. Talent Master marks its sending actions as irreversible so that the AI Assistant asks the User for approval; the Customer must not configure its AI Assistant to approve them automatically.
6.7. Prohibited uses. The Customer must not, and ensures that its Users do not:
- use the Service for any purpose other than its own recruitment, in particular to provide recruitment services to third parties, to prospect commercially, or to build or sell a database of profiles;
- resell or sublicense the Service, or make it available to a third party;
- access the Service other than through the Connector and the Web Interface, extract data from it by automated means beyond normal use, or exceed the rate limits it applies;
- test, probe or circumvent the security of the Service, or attempt to access another customer's data;
- copy, decompile or reverse engineer the Service, except where the law expressly allows it, or use it to build a competing service;
- send unsolicited bulk messages through the Service, or messages to people who are not candidates for a role.
6.8. Third-party terms. The Customer complies with the terms of the providers it uses with the Service, in particular those of its AI Assistant and of its email and calendar provider.
7. Mailbox and calendar
7.1. To contact candidates and schedule interviews, a User grants Talent Master access to their mailbox and calendar through the Google or Microsoft authorisation screen. That screen shows the access requested.
7.2. Talent Master uses this access only to provide the Service to the Customer: to send from the User's mailbox the messages approved under 4.3, to synchronise the replies and calendar events related to the Customer's recruitment, to read the User's availability, and to add booked interviews to the User's calendar with a video meeting link.
7.3. A User may revoke this access at any time from their Google or Microsoft account. Revoking it stops sending and synchronisation for that User: the sequences and replies that depend on it are then not sent.
7.4. Messages sent from the Customer's mailbox are subject to the Customer's own agreement with its email provider. Talent Master limits the daily volume and the spacing of sends, but GETPRO is not responsible for a restriction or suspension that the email provider applies to the Customer's mailbox, unless it results from GETPRO's fault.
8. Artificial intelligence
8.1. Talent Master uses artificial intelligence models, those of its own providers and that of the Customer's AI Assistant, to collect the brief, search for and screen profiles, give the reason for each candidate, draft messages and replies, and summarise and classify replies.
8.2. Outputs are recommendations. They may be inaccurate, incomplete or unsuited to a given role, and are given to help the Customer decide, not to decide in its place. The Customer reviews Outputs before relying on them, in particular a candidate's assessment, and any message before approving it. Contact details found by Talent Master come from third-party providers and may be wrong or out of date.
8.3. GETPRO does not guarantee any number of candidates, their quality, their interest or their reply, nor the success of a recruitment. A cost estimate is an estimate; the cap the Customer sets for a Search is binding (9.6).
8.4. What the AI Assistant says or writes in the conversation is produced by the AI Assistant's own model, following the instructions GETPRO provides with the Connector. GETPRO does not control that model, and the Customer reviews its output as it does any Output.
8.5. Talent Master records the screening's reasons and the Customer's decisions, so that the Customer can review them and rescue a candidate the screening rejected. GETPRO does not use the Customer's decisions to train or improve models for other customers or for itself without the Customer's specific written authorisation, given separately from the Agreement (DPA 4.8). Where the AI Act applies to Talent Master as a high-risk AI system, the roles and information set out in DPA 5.3 apply.
9. Credits, Subscription and invoicing
9.1. Credits. The use of the Service is measured in Credits. Each action costs the number of Credits shown for it on the Credits page of the Web Interface at the time the action is carried out. A profile screened in a Search is charged whether the screening keeps or rejects it, an email address or telephone number only if one is found, and a recorded interview, where the Service offers it, per started block of recording time.
An Order may set different prices for a Workspace.
9.2. Nature of Credits. Credits are not money: they have no cash value, earn no interest, cannot be transferred to another Workspace and are not refunded, except as these Terms provide.
9.3. Trial Credits. A Workspace created through the sign-up receives, free of charge, the number of trial Credits shown at sign-up, once per company email domain; an address at a personal email provider receives none. Trial Credits can be used for any action and expire 60 days after the Workspace is created. They cannot be exchanged or refunded.
9.4. Subscription. To keep using the Service once its trial Credits are used up, the Customer takes out a Subscription by accepting an Order. The Subscription is billed monthly, in advance, at the price excluding taxes, and with the number of Credits included per period, shown on the Credits page of the Web Interface when the Customer subscribes. It renews automatically for successive periods of the same length until it is terminated under section 16. Included Credits not used by the end of a period lapse.
9.5. Additional Credits. A Customer with an active Subscription may buy packs of Credits at the prices shown on the Credits page of the Web Interface at the time of purchase. Purchased Credits remain usable while the Subscription is active.
9.6. Debits and caps. Before each Search and each contact lookup, Talent Master states the estimated cost and the Workspace's balance. The Customer may set a cap for a Search, and Talent Master does not debit more Credits for that Search than the cap. Credits are debited once the work is done, and an action is refused when the Workspace's balance is exhausted. GETPRO records each debit and, on request, gives the Customer the detail of its Workspace's debits. The Customer may contest a debit by writing to GETPRO, which re-credits any Credits debited in error.
9.7. Prices and taxes. Prices are stated in euros, excluding taxes. VAT and any other applicable tax are added at the rate in force.
9.8. Invoicing and payment. GETPRO invoices the Subscription at the start of each period, and each pack of Credits when it is bought. Invoices are sent by email and paid by bank transfer within 30 days of their date. No discount is granted for early payment.
9.9. Late payment. Any amount unpaid on its due date bears, by operation of law and without a reminder being needed, late-payment interest at the rate the European Central Bank applies to its most recent refinancing operation plus 10 percentage points, together with a fixed indemnity of €40 for recovery costs (Articles L441-10 and D441-5 of the French Commercial Code). GETPRO may also suspend the Service under 15.1 if an invoice remains unpaid 15 days after a reminder.
9.10. Price changes. GETPRO may change the Price List. It informs the Customer at least 30 days before a change applies to it. A change to the Subscription price applies from the next period; a change to the price in Credits of an action applies to actions carried out after it takes effect. A Customer that refuses a price increase may terminate the Agreement under 16.4 before the increase applies to it.
10. Workspace Data and personal data
10.1. The Customer keeps all its rights in the Workspace Data. GETPRO acquires no right in it other than the right to host and process it in order to provide, secure and support the Service for the Customer, for the term of the Agreement and as the DPA allows.
10.2. GETPRO processes the personal data in the Workspace Data as the Customer's processor, under the DPA. A profile found for the Customer may also be found separately for another customer: each Workspace's copy and decisions remain separate, and GETPRO uses neither for another customer.
10.3. GETPRO processes, as controller, the personal data of Users needed to manage their accounts, authentication, security and billing, as described in its privacy policy. GETPRO's contact for data protection is [email protected].
10.4. GETPRO may use technical and usage data on the operation of the Service, such as volumes, costs, response times and errors, which contains no Customer Personal Data, to run, secure, bill and improve the Service.
11. Intellectual property
11.1. GETPRO and its licensors hold all rights in the Service, including its software, models, prompts, interfaces, documentation and the Talent Master name, and in their improvements. For the term of the Agreement, GETPRO grants the Customer a non-exclusive, non-transferable right, without the right to sublicense, to use the Service for its own recruitment, through its Users, worldwide. No other right is granted.
11.2. Outputs form part of the Workspace Data. GETPRO claims no right in them and the Customer may use them freely, except for the elements of the Service they reproduce, such as the candidate notice and the templates GETPRO provides, which the Customer may use only with the Service.
11.3. For the term of the Agreement, the Customer authorises GETPRO to reproduce its name and logo in the Service and in the messages and pages the Service shows candidates on its behalf, such as the booking page and interview confirmations. GETPRO does not name the Customer as a reference without its prior written consent.
11.4. GETPRO may freely use the suggestions the Customer or its Users make about the Service. Suggestions do not include Workspace Data, in particular decisions on candidates.
12. Confidentiality
Each party keeps confidential the non-public information the other party discloses to it under the Agreement, including the Workspace Data and the terms of any Order. It uses that information only to perform the Agreement, and discloses it only to those of its staff, advisers and subcontractors who need it and are bound by equivalent confidentiality. This obligation does not cover information that is public through no fault of the receiving party, that the receiving party already lawfully held, or that it must disclose by law or by order of an authority. It lasts for the term of the Agreement and for five years after its end. The DPA continues to govern personal data.
13. Availability and support
13.1. GETPRO makes reasonable efforts to keep the Service available and working, but commits to no level of availability, performance or response time.
13.2. GETPRO may interrupt the Service for maintenance, updates or security. Where it can, GETPRO informs the Customer in advance of a planned interruption it expects to be significant.
13.3. The Service depends on services GETPRO does not control, in particular the Customer's AI Assistant, its email and calendar provider and the internet. GETPRO is not responsible for their unavailability. When one of GETPRO's own providers fails, GETPRO makes reasonable efforts to restore the feature concerned, if need be through another provider.
13.4. The Customer contacts support by email at [email protected]. GETPRO answers on business days in France, without a guaranteed response time.
14. Liability
14.1. GETPRO performs its obligations with the care of a diligent professional, under an obligation of means.
14.2. GETPRO is liable only for the direct damage that the Customer proves results from a breach of GETPRO's obligations. GETPRO is not liable for: (a) indirect damage, such as loss of profit, revenue, business or opportunity, or harm to reputation; (b) the Customer's decisions on candidates and the consequences of a recruitment; (c) the content of a message a User approved; (d) the use of an Output without the review 8.2 requires; (e) the acts of the AI Assistant, of the Customer's email and calendar provider, or of a candidate.
14.3. GETPRO's total liability under the Agreement, for all causes combined, is limited to the greater of the amounts the Customer paid GETPRO in the twelve months before the event giving rise to liability and €10,000. This cap also applies to liability under the DPA, without prejudice to Article 82 GDPR as regards data subjects.
14.4. The exclusions and the cap in this section do not apply in the event of gross negligence or wilful misconduct, or where the law forbids limiting liability.
14.5. The Customer indemnifies GETPRO against any claim by a third party, in particular a candidate, and against the damages and costs resulting from it, where the claim arises from a use of the Service in breach of the Agreement or of the law, from the content of a message sent in the Customer's name, or from criteria the Customer set. GETPRO informs the Customer promptly of the claim and allows it to take part in the defence.
14.6. Any claim against GETPRO must be brought within one year of the date on which the Customer knew or should have known of the event giving rise to it.
14.7. Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code. If the force majeure lasts more than one month, either party may terminate the Agreement by notice to the other.
15. Suspension
15.1. GETPRO may suspend all or part of the Service, a User's access or the sending of messages, without notice where needed:
- to prevent a risk to the security or integrity of the Service, of its data or of other customers;
- when the Customer or a User uses the Service in breach of section 6 or of the law, in particular through protected criteria, misleading messages, or sends that draw many complaints or bounces;
- when an invoice remains unpaid 15 days after a reminder;
- when an authority or a court requires it.
15.2. GETPRO informs the Customer of the suspension and its reason, unless the law forbids it, and lifts the suspension once its cause has ended. A suspension does not end the Agreement, and the Workspace keeps its Credits.
16. Term and termination
16.1. Term. The Agreement starts when the Workspace is created and continues for an indefinite term until it is terminated as set out below. A Subscription runs by periods, as set out in 9.4.
16.2. By the Customer. The Customer may terminate the Agreement at any time by email to GETPRO. Termination takes effect at the end of the current Subscription period, or immediately if the Customer has no Subscription. The amounts for the current period remain due and are not refunded, except under 16.4.
16.3. By GETPRO. GETPRO may terminate the Agreement by giving the Workspace administrators three months' notice.
16.4. Termination connected to GETPRO. The Customer may terminate the Agreement, with effect on the date it chooses before the change concerned takes effect:
- under DPA 6.2, if GETPRO cannot accommodate its objection to a new sub-processor;
- if it does not accept a new version of these Terms (18.3);
- if it refuses a price increase (9.10);
- if a change to the Service removes a feature it uses or materially reduces the Service (4.5).
In these cases, and where GETPRO terminates under 16.3, GETPRO refunds the part of the Subscription paid for the period after termination and the purchased Credits not used.
16.5. For breach. Either party may terminate the Agreement if the other fails to perform a material obligation and does not remedy the failure within 30 days of a formal notice describing it. GETPRO may terminate the Agreement with immediate effect, by notice and without prior formal notice, if the Customer seriously or repeatedly breaches 6.2, 6.4 or 6.7.
16.6. Effects. When the Agreement ends, access to the Service ends, sequences in progress stop, and remaining Credits lapse except as 16.4 provides. Any amounts still owed become due. Sections 10, 11, 12, 14, 17, 19 and 20 continue to apply.
17. End of the Agreement: export and deletion
17.1. Until the Workspace Data is deleted, the Customer may ask GETPRO for an export of its candidate records in a common machine-readable format (DPA 9.2). It may ask for it before the Agreement ends.
17.2. When the Agreement ends, or earlier at the Customer's request, GETPRO deletes the Workspace Data within 30 days, as DPA 9.2 provides for personal data. Copies held in backups are deleted as those backups expire, and are not restored meanwhile except to recover the Service. After that, GETPRO keeps only what the law requires it to keep, such as invoices and the evidence of the Agreement for the limitation period.
17.3. The DPA continues to apply to personal data until it is deleted.
18. Changes to the Terms
18.1. GETPRO may update these Terms, in particular to reflect a change in the Service, in the law or in its providers. Each version is dated.
18.2. GETPRO informs the Workspace administrators of a new version by email at least 30 days before it takes effect, unless a change in the law or a security need requires a shorter period.
18.3. The Customer is asked to accept the new version in the Service before its next Search or sequence is launched; until then, the version it last accepted continues to apply. If the Customer does not accept the new version, it may terminate the Agreement under 16.4.
19. General provisions
19.1. Evidence. The records kept in GETPRO's systems, including acceptances, approvals given on the Web Interface or in the AI Assistant, and Credit debits, are evidence between the parties of the actions they record, unless proven otherwise (Article 1356 of the French Civil Code).
19.2. Notices. GETPRO sends notices to the Customer by email to the Workspace administrators. The Customer sends notices to GETPRO at [email protected]. A formal notice may also be sent by registered letter with acknowledgement of receipt.
19.3. Assignment. The Customer may not assign the Agreement without GETPRO's prior written consent. The Customer consents in advance to GETPRO assigning the Agreement to an affiliate or to the acquirer of the Talent Master business, of which GETPRO informs it.
19.4. Subcontracting. GETPRO may use subcontractors to provide the Service and remains responsible for them. Sub-processors of personal data are governed by the DPA.
19.5. Independence. The parties act as independent contractors. Neither may bind the other.
19.6. Whole agreement. The Agreement is the parties' entire agreement on its subject matter. If a clause is held invalid, the other clauses remain in force and the parties replace it with a valid clause as close to it as possible. A party's failure to exercise a right does not waive it.
20. Governing law and disputes
The Agreement is governed by French law. The parties first seek, in writing, an amicable settlement of any dispute. Failing that, any dispute relating to the formation, performance or termination of the Agreement falls within the exclusive jurisdiction of the courts of Paris, France, including for urgent or interim proceedings, and where there are several defendants or third-party claims.
